Partnership Book (5th Ed) by Denis Clifford, Ralph E. Warner (Paperback - 304 pages 5th Bk&Dk edition (April 1997) Nolo Press; ISBN: 0873373715). Many people dream of going into business with friends. This book shows how to turn that dream into a sound partnership agreement. It thoroughly explains the legal and practical issues involved in forming a partnership. Sample clauses cover all key issues—from each partner’s initial contribution to what happens if one partner leaves. All the forms for creating a partnership agreement are provided, as tear-outs and on disk. The 5th edition includes a thorough discussion of partnerships compared to limited liability companies.
Wage Slave No More: Law and Taxes for the Self-Employed (2nd Edition) by Stephen Fishman (Paperback - 368 pages (March 1998) Nolo Press; ISBN: 0873374584). Corporate downsizing has put a lot of people in business for themselves. It has also created a huge demand for independent contractors—designers, programmers, proofreaders, sales reps, consultants and anyone else who offers their services on a contractual basis. If you’re one of the more than 20 million self-employed Americans who offer their services on a contract basis you need Wage Slave No More. You’ll find out what you need to know to work successfully and legally as an independent contractor. This second edition discusses a range of topics from choosing business names and paying taxes to protecting patents and writing agreements. The new material reflects changes that result from the Taxpayers' Relief Act of 1997 and includes relevant details on applicable new topics such as the emergence of a radical high-deductible health plan available to those who work for themselves.
Consultant and Independent Contractor Agreements by Stephan Fishman (Book with disk. Berkeley: Nolo Press, 1st Edition). If "Get it in writing!" is the mantra of independent contractors and consultants, then Attorney Stephan Fishman's book is their holy text. It provides legal and practical advice on how to write a clear, solid legal agreement. It also explains how to define current projects, establish deadlines, avoid disputes, set fees and satisfy the IRS. There are tear-out agreements in the back of the book as well as a disk with 15 agreements tailored to the most popular fields for contractors and consultants.
